  14.                        COLLECTION AGREEMENT
  15.

  17. @001, referred to as AGENCY and @002, referred to as CLIENT,
  18. agree:
  19.

  21. AGENCY represents that it is properly licensed, bonded, with a
  22. capable and trained (if required) staff of collectors, and can
  23. effect reasonable and lawful effects to collect accounts
  24. receivable of CLIENT.
  25.

  27. CLIENT shall provide to AGENCY, from time to time, accounts
  28. receivable to collect. CLIENT represents that any accounts which
  29. it turns over to AGENCY are legally due and owed. CLIENT shall
  30. provide upon request to AGENCY source documentation for any and
  31. all accounts due, and, verification of any balance due.

  34. AGENCY shall at all times conduct collection activity on behalf
  35. of CLIENT in compliance with all lawful regulations and laws and
  36. shall hold CLIENT harmless from any claims related to unlawful
  37. collection activity. A periodic report of the status of all
  38. collections shall be provided to CLIENT by AGENCY at least every
  39. @004.

  42. AGENCY shall receive a fee of @003 percent from all sums
  43. collected on behalf of CLIENT. AGENCY may deduct from sums
  44. collected its fee; however, all sums which are due to the CLIENT
  45. shall be held in a separate trust account. In the event that a
  46. debtor returns merchandise, the value for the purposes of the
  47. agreement shall be the net sales price received for the same, or
  48. if the merchandise is accepted by CLIENT, 1/2 its wholesale
  49. value.

  52. CLIENT shall be entitled to, either itself or through designated
  53. agents, auditors and accountants, conduct audits of the books and
  54. records of AGENCY to verify accountings.

  57. CLIENT shall be entitled to withdraw accounts once assigned from
  58. AGENCY, however, if any collections are made as related to such
  59. accounts shall be reported to AGENCY, and the AGENCY fee paid.

  62. AGENCY shall be responsible for all expenses related to its
  63. collection efforts, other than court costs and attorneys' fees,
  64. if suit is authorized, and expenditure is approved for court
  65. costs and attorney's fees. Any suit fees or court costs shall be
  66. approved in writing prior to their expenditure.
